Subscription Terms — NexusCode Lab
Last updated: · Version: 2026-10-05.2
These Subscription Terms (“Terms”) govern the purchase and use of services provided by NEXUSCODE LAB LLC, referred to as “NexusCode Lab,” “Nexus,” “we,” “us,” or “our.”
These Subscription Terms govern the Professional Website subscription. Before continuing to Checkout, the client must expressly accept these Terms and the Privacy Policy linked on the subscription page. The general website Terms of Use do not replace these Terms.
1. Services
The US$100/month Professional Website plan includes completion and publication of the website previously agreed and approved with the client, hosting, maintenance, support and small updates described in section 8.
The client purchases and maintains their own domain. Additional services, including new pages, complex features, integrations or redesign, are not automatically included and may require a separate quote. The website scope is the scope previously agreed with Nexus.
2. Monthly subscription
When the customer subscribes to a service, they will be charged the amount presented at the time of purchase.
For the Professional Website — NexusCode Lab plan, the currently agreed price is US$100 per month, unless a specific proposal or agreement establishes a different amount.
This plan has no initial development fee, unless expressly disclosed before purchase.
The first payment confirms the purchase and authorizes NexusCode Lab to begin setup, development, or continued work on the project.
3. Renewal and recurring billing
The subscription renews automatically for each monthly period until canceled.
By providing a payment method and completing the subscription, the customer authorizes recurring charges for the selected plan.
Payments may be processed by third-party payment providers, such as Stripe.
The customer is responsible for maintaining a valid, up-to-date payment method.
4. Failed or late payments
A failed or overdue renewal does not immediately suspend the website. Stripe may retry the charge according to its configuration, and the client must resolve the outstanding payment.
For new overdue-payment periods, the grace period is exactly 120 hours (5 days), measured from the start recorded by the system after the failure is confirmed. Access remains allowed during that period. Previously started grace periods retain their recorded deadline, including legacy 168-hour periods.
Once the recorded deadline passes, if the debt remains outstanding, the system determines suspension of website access and related services. Access is restored by the system after payment resolution is confirmed.
Service suspension is distinct from subscription cancellation: suspension alone does not cancel recurring billing or erase amounts owed. If nonpayment continues for 30 days, measured from the recorded start of nonpayment, NexusCode Lab may permanently terminate/cancel the subscription for nonpayment through a separate action communicated to the client. This period establishes a contractual right for Nexus, without automatic cancellation at 30 days. The 30 days of nonpayment do not mean immediate deletion of files or data; after termination, the retention rules in section 5 continue to apply.
Suspension or termination does not affect ownership of a domain registered in the client’s name.
5. Subscription cancellation
To request cancellation, contact hello@nexuscodelab.net and identify your account and website, without sending passwords or card details. Nexus confirms the effective date and the end of renewals. My subscription provides billing management; cancellation requests do not depend on a cancellation button in the Portal.
The customer may cancel their subscription at any time to stop future renewals, without a cancellation fee.
When cancellation occurs during an already-paid billing period, the website and services included in the subscription will remain active until the end of that period.
The customer will not be charged again after cancellation unless they reactivate or purchase the service again.
Payments for billing periods that have already started are non-refundable, except where required by applicable law or where NexusCode Lab agrees otherwise in writing.
At the end of the already-paid billing period, NexusCode Lab may deactivate the website, hosting, maintenance, and other services associated with the subscription.
Where technically applicable, NexusCode Lab may retain a copy of the project and related data for up to 30 days after termination, solely to allow possible reactivation, an agreed migration, or resolution of technical issues.
After this period, NexusCode Lab does not guarantee retention of the project or data.
6. Domain
When the domain is purchased directly by the customer, it remains the customer’s property.
NexusCode Lab may assist with DNS configuration, domain connection, SSL, and other technical settings needed for the website to function.
Canceling the subscription with NexusCode Lab does not deprive the customer of ownership of their domain.
Domain registration and renewal fees may be charged separately when they are not expressly included in the selected plan.
7. Hosting and infrastructure
While the corresponding subscription is active and in good standing, NexusCode Lab may provide the hosting and infrastructure needed for the website to function.
NexusCode Lab will seek to keep the services available and secure but does not guarantee uninterrupted or entirely error-free operation.
Interruptions caused by maintenance, external providers, internet services, domain registrars, payment platforms, or other third parties may occur.
8. Maintenance, support, and minor changes
Professional Website includes maintenance, support and small updates to the previously approved website.
“Minor changes” include, for example, text corrections, image replacements, contact information updates, and simple content or presentation adjustments.
New pages, complex features, integrations, custom systems, significant redesigns, or changes that constitute new development may be quoted separately.
NexusCode Lab will inform the customer before starting any service that incurs an additional charge.
9. Customer-provided content
The customer is responsible for the information, images, trademarks, logos, videos, and other materials they provide for use in the project.
By providing these materials, the customer confirms that they hold the rights or permissions necessary for their use.
NexusCode Lab is not responsible for violations of third-party rights arising from materials provided or requested by the customer.
10. Code, development, and intellectual property
The monthly subscription grants the customer the right to use the website and services made available by NexusCode Lab while the subscription is active and in good standing.
Unless otherwise agreed in writing, source code and development produced by NexusCode Lab remain the property of NexusCode Lab, subject to the client’s rights in their content and third-party rights in their components. Monthly payments do not purchase or transfer the source code, technical structure or internal tools.
The customer retains the rights to their own brand, logo, text, images, and other content that belongs to them.
If the customer wishes to acquire a standalone version of the project or negotiate a transfer of the source code, the parties may separately agree on the price and terms of that transfer.
11. Third-party services
Projects may use third-party services, including hosting, domain registrars, email services, databases, APIs, payment platforms, and other tools.
NexusCode Lab does not fully control the availability, pricing, policies, or changes made by these providers.
Third-party costs not expressly included in the plan may be the customer’s responsibility.
12. SEO and business results
When basic SEO is included, NexusCode Lab may perform technical and content optimizations intended to improve the customer’s digital presence.
However, NexusCode Lab does not guarantee specific search engine rankings, visitor numbers, lead generation, sales, revenue, or any specific business result.
Results may depend on external factors, competition, market conditions, algorithms, and the customer’s own actions.
13. Customer approval and cooperation
The customer must provide, within a reasonable time, the information, content, access, and approvals needed to carry out the project.
Delays caused by the absence of these items may affect the development or publication timeline without being considered delays attributable to NexusCode Lab.
14. Security and availability
NexusCode Lab will adopt reasonable technical measures to protect the services under its administration.
No internet-connected system can be guaranteed to have absolute security or availability.
The customer must protect passwords, accounts, and credentials under their control and immediately report any suspected unauthorized access.
15. Limitation of liability
To the extent permitted by applicable law, NexusCode Lab will not be liable for indirect losses, lost profits, loss of business opportunities, or damages arising from interruptions or third-party actions beyond its reasonable control.
Nothing in these Terms excludes liabilities that cannot legally be limited or excluded.
16. Changes to these Terms
NexusCode Lab may update these Terms as needed to reflect changes in services, legal requirements, or business practices.
The updated version will be made available on the NexusCode Lab website with its corresponding update date.
When a material change affects an existing subscription, NexusCode Lab may notify the customer by reasonable means before the change takes effect in the contractual relationship.
17. Governing law
These Terms are governed by the applicable laws of the State of Florida, United States, without prejudice to mandatory rights that may apply to the consumer in their jurisdiction.
